For Individuals

To qualify under Rule 501 of Regulation D (U.S. Securities Act of 1933), you must meet at least one of the following:

• Income: Earned over $200,000 annually (or $300,000 with a spouse) for the past two years, with a reasonable expectation of the same this year.

• Net Worth: Have a net worth of $1 million or more, excluding your primary residence. This can be individual or joint with a spouse.

• Professional Credentials: Hold certain financial licenses such as Series 7, Series 65, or Series 82.

• Private Fund Employees: “Knowledgeable employees” of a private fund may qualify—limited to that specific fund's offering.

For Entities
Entities can qualify if they meet any of the following:

• Asset Threshold: Have assets exceeding $5 million and were not formed solely to invest.

• Accredited Ownership: All equity owners of the entity are accredited investors.

• Recognized Entities: Includes registered investment advisors, family offices, rural business investment companies, and other SEC-recognized institutions.

• Accreditation is required for participating in private placements and certain investment offerings.

• The SEC may update criteria, so staying current is essential.

• Verification can be completed via income documentation, net worth calculation, or third-party certifications.
